Terms of Service

These Terms govern access to and use of the Axietex Tech website and, where applicable, technology and digital services provided by Axietex Tech.

1. Acceptance of Terms

By accessing or using the Axietex Tech website, you agree to be bound by these Terms of Service and any applicable policies linked from them. If you do not agree with these Terms, you should not use the website.

If you use Axietex Tech services on behalf of a company or other organization, you confirm that you are authorized to act for that organization and that your acceptance binds it to these Terms where applicable.

2. About Our Services

Axietex Tech may provide technology and digital solutions such as AI solutions, AI agents and assistants, AI automation, marketing automation, lead generation solutions, business process automation, custom software, AI-based CRM solutions, workflow automation, API integrations, and other related services.

Website descriptions are general information about our capabilities. The exact scope, deliverables, timelines, pricing, assumptions, and responsibilities for a client project are determined by the applicable proposal, Statement of Work, service agreement, order, or other written agreement accepted by the relevant parties.

3. Website Use

You may use the website only for lawful purposes and in a way that does not harm the website, Axietex Tech, or another person. You must not:

  • Use the website for an unlawful, fraudulent, abusive, or unauthorized purpose.
  • Attempt to gain unauthorized access to the website, accounts, systems, or data.
  • Interfere with, disrupt, overload, or impair website operation.
  • Introduce malware, malicious code, or other harmful material.
  • Scrape, crawl, copy, or collect website content in a way that abuses the website or bypasses reasonable technical controls.
  • Misrepresent your identity, authority, or relationship with another person or organization.
  • Use the website to violate another person’s privacy, intellectual property, or other rights.
  • Attempt to bypass, disable, or defeat security or access controls.

4. Contact Forms and Enquiries

You may submit information through website contact forms or contact Axietex Tech through email, phone, messaging, or another available communication channel. You are responsible for providing information that is accurate and sufficiently complete for us to understand your enquiry.

You should not knowingly submit false, misleading, unlawful, infringing, or harmful information. Submitting an enquiry does not automatically create a client relationship, contract, engagement, or guarantee that Axietex Tech will accept or undertake a project.

5. Project Engagements

A client engagement becomes binding only when the relevant parties enter into an applicable written agreement, proposal, Statement of Work, Master Services Agreement, order, or other accepted contractual document.

Depending on the project, that written document may specify:

  • Scope, requirements, assumptions, and deliverables.
  • Fees, taxes, payment terms, and milestones.
  • Timelines, dependencies, and each party’s responsibilities.
  • Review, revision, testing, and acceptance criteria.
  • Support, maintenance, hosting, or other post-launch services.
  • Ownership, licensing, confidentiality, and permitted use.

If these Terms conflict with a specific written client agreement, the specific agreement will control to the extent legally appropriate.

6. Fees and Payments

Project fees, deposits, milestones, payment schedules, taxes, expenses, and other charges are governed by the applicable written agreement. Applicable taxes may be charged where required by law.

No price, payment deadline, refund, credit, late fee, or other commercial term should be inferred from the website unless it appears in an applicable written agreement. Any change to an agreed commercial term should be documented by the relevant parties.

7. Changes to Project Scope

Requirements or requests outside an agreed scope may require additional fees, revised timelines, new assumptions, or changes to responsibilities. The parties may document those changes through a change order, updated Statement of Work, written approval, or another agreed process.

Axietex Tech will not treat an informal request as an automatic commitment to perform additional work where the change affects scope, cost, timing, risk, or dependencies.

8. Client Responsibilities

Clients may be responsible for:

  • Providing accurate requirements, decisions, and relevant project information.
  • Providing required content, data, credentials, access, approvals, and other dependencies in a timely way.
  • Reviewing work and providing timely, useful feedback.
  • Obtaining the permissions, consents, licenses, and authorizations needed for supplied materials and requested processing.
  • Ensuring that materials, data, instructions, and systems supplied to Axietex Tech can legally be used for the project.
  • Using delivered systems responsibly and in accordance with applicable law and third-party terms.

Project timelines and outcomes may depend on timely client cooperation and the availability of third-party systems or information.

9. Intellectual Property

Intellectual property ownership and licensing for project work will be determined by the applicable written agreement. Nothing in these Terms automatically transfers all project intellectual property to Axietex Tech or to a client.

Axietex Tech materials

Unless otherwise agreed, Axietex Tech retains rights in its pre-existing technology, reusable frameworks, libraries, tools, templates, know-how, methodologies, processes, and general expertise.

Client materials

Clients retain their rights in materials, data, content, trademarks, and systems they provide, subject to the rights needed for Axietex Tech to perform the agreed work.

Project deliverables

Rights in project-specific deliverables, including any ownership transfer or license, take effect only as stated in the applicable written agreement and subject to any payment or other conditions in that agreement.

Third-party materials

Third-party software, APIs, models, content, platforms, and services remain subject to their own licenses and terms. A project agreement may describe any related permissions or limitations.

10. Third-Party Services and Integrations

Projects may depend on third-party platforms, APIs, hosting providers, AI providers, payment processors, CRM systems, communication platforms, software libraries, or other external services. Axietex Tech does not control those services.

Third-party services may have their own terms, pricing, privacy policies, availability, technical limits, and security practices. A change, outage, restriction, or discontinuation by a third party may affect a project even where Axietex Tech has acted reasonably.

11. AI-Related Services

AI systems may produce inaccurate, incomplete, outdated, unexpected, biased, or inappropriate outputs. AI output may also vary depending on the information provided, the system configuration, and the underlying third-party technology.

Clients and users should review important AI-generated output before relying on it, especially for business, legal, financial, medical, employment, safety, or other consequential decisions. Axietex Tech does not guarantee that AI outputs will always be accurate, complete, appropriate, or error-free.

12. Content and Client Data

Clients remain responsible for the legality, accuracy, quality, and authorization of content, data, files, instructions, and other materials they provide or make available. Clients must not provide information that they are not legally authorized to provide or process.

Data handling may also be governed by the Axietex Tech Privacy Policy, a data-processing arrangement, and the specific client agreement. Clients should consider the sensitivity of information before submitting it through the website or requesting that it be used in a project.

13. Confidentiality

Confidential information shared during a project may be subject to confidentiality obligations. Where an NDA or other confidentiality agreement exists, that agreement governs the relevant confidential information and any permitted use or disclosure.

Not every website visit, enquiry, or communication is automatically covered by an NDA. Clients should identify confidential information and agree appropriate protections in writing where that is important to the engagement.

14. Warranties and Disclaimers

To the extent permitted by applicable law, the website is provided on an “as is” and “as available” basis. We do not represent or warrant that the website or publicly available information will always be accurate, complete, error-free, continuously available, uninterrupted, completely secure, or suitable for every particular purpose.

For a client project, any warranties, service levels, support commitments, or acceptance standards are determined by the applicable written agreement. Nothing in these Terms removes a right or remedy that cannot lawfully be excluded.

15. Results and Business Outcomes

Axietex Tech does not guarantee a specific amount of revenue, number of leads, conversion rate, search ranking, return on investment, cost saving, productivity improvement, or business growth. Results depend on many factors outside our control, including market conditions, client decisions, data quality, implementation, adoption, third-party services, and the actions of other people.

16. Limitation of Liability

To the extent permitted by applicable law, Axietex Tech will not be responsible for indirect, incidental, special, consequential, exemplary, or similar losses arising from or related to website use or services, including loss of profits, revenue, opportunity, data, goodwill, or anticipated savings.

This limitation applies subject to applicable law and does not exclude responsibility that cannot lawfully be excluded or limited. For a client engagement, any specific allocation of risk or liability cap must be stated in the applicable written agreement; no monetary cap is created by these Terms.

17. Indemnification

To the extent permitted by applicable law and subject to any applicable written agreement, a user or client may be responsible for claims, losses, liabilities, and reasonable costs arising from their unlawful use of the website or services, violation of these Terms, violation of another person’s rights, or provision of materials or data without proper authorization.

This section does not require a user or client to indemnify Axietex Tech for a matter caused by Axietex Tech’s own unlawful conduct or a responsibility that cannot lawfully be transferred.

18. Suspension or Termination

Axietex Tech may suspend or restrict access to the website or a publicly available feature where reasonably necessary because of a violation of these Terms, illegal or abusive activity, a security threat, non-payment where applicable under a client agreement, a legal requirement, or another legitimate business or safety reason.

Termination, suspension, or transition of a specific client project is governed by the applicable written agreement. Provisions that by their nature should continue after termination may continue to apply, subject to applicable law.

19. Third-Party Links

The website may contain links to third-party websites or services. Axietex Tech is not responsible for the content, availability, security, terms, or privacy practices of third-party websites. Accessing an external website is at your own discretion, and you should review its applicable policies.

20. Website Content and Intellectual Property

The Axietex Tech website design, branding, text, graphics, logos, original content, and other materials are protected by applicable intellectual property laws and remain owned by Axietex Tech or the relevant rights holder.

You may not reproduce, copy, modify, distribute, publicly display, publish, or commercially exploit website content without appropriate permission, except where a use is permitted by applicable law. No rights are granted by implication or by your use of the website.

21. Modifications to Services

Axietex Tech may update, modify, suspend, or discontinue website features or publicly available services from time to time. We may do so to reflect changes in technology, operations, security, legal requirements, or business priorities.

Existing client projects remain governed by their applicable written agreements unless the relevant parties agree otherwise.

22. Modifications to These Terms

These Terms may be updated from time to time. When a material change is made, we will publish the revised Terms on this page. Continued use of the website after an update may constitute acceptance of the revised Terms to the extent permitted by applicable law.

A specific client agreement may contain its own amendment process and will govern the relevant project where applicable.

23. Governing Law

These Terms are generally governed by the applicable laws of India, subject to applicable mandatory laws and the terms of any specific client agreement. Any dispute will be addressed by the courts or jurisdiction applicable to Axietex Tech’s principal place of business, subject to applicable law and any separate written agreement.

This section is not intended to require every user in every country to give up a mandatory right or protection that cannot lawfully be excluded.

24. Severability

If a provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be limited or removed only to the extent necessary, and the remaining provisions may continue to apply to the extent permitted by law.

25. Waiver

A failure or delay in enforcing a provision of these Terms does not necessarily constitute a permanent waiver of that provision or of the right to enforce it later.

26. Entire Agreement

These Terms govern general use of the website. Specific client agreements, proposals, Statements of Work, NDAs, orders, or other written agreements may govern individual projects. Where there is a conflict, the applicable specific written agreement controls to the extent legally appropriate.
